Scope and application
Alkama sells only to business customers (B2B) in Sweden, Norway and Finland. These terms apply to all purchase agreements with commercial enterprises and do not cover consumer transactions. By placing an order, the customer certifies that the purchase is made within a business activity and accepts these terms. Note that consumer rights such as the right of withdrawal in distance selling do not apply to business purchases.
Prices and payment terms
All prices are stated in Swedish kronor and exclude VAT. VAT is therefore added to all stated prices. Prices also exclude freight; a freight charge is added to all orders and invoiced separately (see Delivery terms below). Any environmental fees, special packaging or pallet costs may be added and charged per the applicable price list or order confirmation. Alkama reserves the right to adjust prices and to correct obvious errors (e.g. typographical errors) in price statements.
Payment: Payment is made against invoice. Standard terms are 15 days net from the invoice date (unless otherwise agreed). The invoice is sent together with the delivery. On late payment, Alkama may charge a statutory reminder fee (currently SEK 60) and late-payment interest under the Swedish Interest Act. The matter may thereafter be referred to debt collection.
Alkama reserves the right to perform a standard credit assessment of new customers. In the event of insufficient creditworthiness or an exceeded credit limit, Alkama may decline invoice purchase, require advance payment or set up special payment security. Retention of title applies (see Retention of title below), meaning goods remain Alkama's property until paid in full.
Delivery terms
Alkama currently delivers within Sweden, Norway and Finland. Orders are dispatched promptly and sent with established carriers to the delivery address provided by the customer. Normal delivery time is approximately 5–7 working days for stocked goods. Stated delivery times are estimates; deviations may occur depending on destination and carrier. If a delivery is significantly delayed we will notify the customer, who is then entitled to cancel the purchase if desired.
Freight charges: All deliveries are made FCA Alkama's warehouse (Incoterms 2020) unless otherwise agreed, meaning the customer bears the freight cost. The freight charge is determined by the size of the order (weight/volume) and the delivery address, and is stated separately on the order confirmation. No freight is included in our product prices. Risk for the goods passes to the customer when the goods are handed over to the carrier. The customer is responsible for ensuring the receiving address is correct and that the goods can be received. Any extra costs due to incorrect addresses or failed delivery may be charged to the customer.
Delivery abroad: For deliveries to Norway, Swedish VAT is deducted from the invoice; the recipient pays local import VAT and any customs duty in the destination country. For delivery to businesses within the EU (e.g. Finland), reverse charge applies provided the customer supplies a valid VAT number before invoicing. Otherwise Swedish VAT is charged per applicable rules. Alkama reserves the right to make a partial delivery if an item is temporarily out of stock, provided this can be done without extra cost to the customer.
Claims and returns
Always inspect the goods on receipt. Any transport damage or missing parcel must be reported immediately to the carrier and to Alkama's customer service. Claims for faulty or damaged goods must be made within 8 days of receipt, in writing by email, with the order/invoice number and a description of the fault. If the customer does not make a claim within the prescribed time, the delivery is deemed approved.
For an approved claim, Alkama will remedy the fault or arrange redelivery of correct goods at no extra cost, and covers return freight and other reasonable costs. If a claim is not approved (e.g. the goods prove faultless or the claim was late), we reserve the right to decline action.
Return of faultless goods is accepted only by special agreement. As a rule we offer no right of return or open purchase for businesses; orders are binding once confirmed. For an approved return the goods must be in essentially unused and undamaged condition in original packaging, and the customer bears return freight and any handling fees.
Warranty: Alkama provides no extended product warranties beyond what the manufacturer may provide. Consumables and chemical-technical products are sold as is, as agreed.
Limitation of liability (Force Majeure)
Alkama compensates only direct damages or costs for which we have expressly assumed liability in these terms or under mandatory law. Indirect damages or consequential losses are not compensated, e.g. production loss, lost profit or other indirect economic loss resulting from delay, faults in delivered goods or use of our products.
Alkama assumes no liability for delays or faults caused by circumstances beyond our control, such as natural disasters, fire, flood, war, terrorism, strike or labour dispute, epidemic/pandemic, raw-material shortage, transport disruptions, import restrictions, government decisions or delays from subcontractors. Such circumstances do not constitute breach of contract, and no compensation is paid for consequential delays.
Retention of title
All delivered goods are sold with retention of title: the products remain Alkama's property until the invoice has been paid in full. Until then the customer undertakes to care for the goods and not, without Alkama's consent, to resell, consume or otherwise dispose of goods covered by the retention.
Governing law and disputes
These terms and all purchases from Alkama are governed by Swedish law, in particular the Sale of Goods Act (1990:931) with the deviations stated above. Disputes shall first be resolved amicably. If a dispute cannot be resolved by negotiation, it shall be decided by a Swedish general court, with Stockholm District Court proposed as the first instance. By placing an order the customer is deemed to have accepted these terms in their entirety.
